Terms of Service

These Terms of Service constitute a binding legal agreement between you and Plaum Inc. governing your use of the Plaum mobile app, restaurant web dashboard, and all related services. Please read them carefully before using Plaum.

1 Acceptance of Terms

1.1 Agreement

By downloading or installing the Plaum mobile app, accessing the Plaum restaurant web dashboard, using any Plaum service, or using the Plaum app in Guest Mode without an account, you ("User," "you," or "your") agree to be legally bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated into these Terms by reference.

If you are using Plaum on behalf of a restaurant or other business entity, you represent and warrant that you have the authority to bind that entity to these Terms, and that the entity agrees to these Terms.

1.2 Parties

These Terms constitute a binding legal agreement between you and Plaum Inc. ("Plaum," "we," "us," or "our"), a company incorporated and headquartered in Ontario, Canada, co-founded by Michael Nwaeze (Co-founder & CEO) and Alexis Mugisha (Co-founder & CTO).

1.3 Changes to These Terms

Plaum reserves the right to modify or update these Terms at any time. When we make material changes, we will notify you by:

  • Posting the updated Terms on this page with a revised "Last Updated" date
  • Sending an in-app notification or push notification to users who have notifications enabled
  • Sending an email notification for significant changes, where required by applicable law

Your continued use of Plaum after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you should stop using Plaum and may request account deletion as described in Section 12.

1.4 Eligibility

To use Plaum, you must:

  • Be at least 13 years of age
  • If you are between the ages of 13 and 17, have obtained verifiable parental or legal guardian consent prior to creating an account
  • Have the legal capacity to enter into a binding agreement in your jurisdiction
  • Not be a person barred from using Plaum under the laws of Canada, the United States, or any other applicable jurisdiction

By creating an account or using Plaum, you represent and warrant that you meet all of the above eligibility requirements.


2 Accounts and Registration

2.1 Account Types

Plaum supports the following account roles:

  • Foodie (Consumer User): Individuals who use the Plaum mobile app to discover restaurants, share food content ("Crumbs"), place orders, earn loyalty points, and connect with other food lovers through Plaum's social features
  • Restaurant (Business User): Restaurant owners, managers, and kitchen staff who use the Plaum mobile app and/or web dashboard to manage their restaurant's presence, orders, menu, analytics, and customer relationships
  • Both: Users who have registered both a Foodie profile and a Restaurant profile within the same account, and who can toggle between these roles within the app

2.2 Registration Methods

Plaum supports the following methods of account creation and authentication:

  • Email and password — registered directly with Plaum
  • Google Sign-In — OAuth 2.0 authentication via your Google account
  • Sign in with Apple — OAuth authentication via your Apple ID (iOS only)
  • Guest Mode — limited access to the Plaum mobile app without creating an account; no personal data is saved between sessions in Guest Mode

2.3 Account Responsibility

You are solely responsible for:

  • Maintaining the confidentiality of your Plaum login credentials (email, password, and/or any OAuth tokens)
  • All activity that occurs under your account, whether or not authorized by you
  • Any consequences of unauthorized access to your account resulting from your failure to safeguard your credentials

You must notify Plaum immediately if you believe your account has been compromised or accessed without your authorization. Contact us at admin@plaum.co with the subject line "Account Security — [Your Username]."

2.4 Accuracy of Information

You agree to provide accurate, current, and complete information during registration and throughout your use of Plaum. You further agree to promptly update your account information if any of it changes. Providing false, misleading, or incomplete information during registration or account setup is a violation of these Terms and may result in account suspension or termination.

2.5 Account Suspension and Termination by Plaum

Plaum reserves the right to suspend, restrict, or permanently terminate your account at our sole discretion if we determine that you have:

  • Violated any provision of these Terms
  • Engaged in fraudulent activity or submitted false information
  • Engaged in conduct that poses a risk to the safety, security, or integrity of Plaum or its users
  • Repeatedly violated our Community Standards
  • Provided false business information during restaurant onboarding

Where practicable and not prohibited by law, we will provide notice before suspending or terminating an account. Severe violations may result in immediate suspension without prior notice.


3 Consumer Foodie Features

3.1 Discovery Feed and Following Feed

Plaum provides a location-based discovery feed and a following feed of restaurants and food content near you. Feed content is personalized based on your geographic location, taste preferences, palate score, dietary tags, social connections, and behavioral signals. While we strive for accuracy, Plaum does not independently verify the accuracy of restaurant information (hours, addresses, menu items, pricing) displayed in the discovery feed. Restaurant information is provided by restaurant partners and is subject to change.

3.2 Ordering — Dine-In and Pickup

Dine-In Ordering: Dine-in ordering is initiated by scanning a QR code provided by a participating restaurant at your table. The QR code identifies your table number, which is transmitted with your order. The restaurant is responsible for displaying accurate and functional QR codes.

Pickup Ordering: Pickup orders are placed through the Plaum app and must be collected at the restaurant within the pickup window specified by the restaurant. Plaum is not responsible for items that become unavailable between the time of order placement and pickup.

Order Finality: Orders are final upon confirmation by the restaurant. Cancellation requests submitted after restaurant confirmation are subject to the individual restaurant's cancellation policy. Plaum is not liable for restaurants' cancellation decisions.

Special Instructions: Special instructions you include with an order (including allergy requests) are transmitted to the restaurant. Plaum cannot guarantee that restaurants will comply with special instructions. For severe allergies or dietary requirements, we strongly recommend confirming directly with the restaurant.

3.3 Payments

Consumer payments are processed by Stripe, Inc. By placing an order with online payment, you authorize Plaum (via Stripe) to charge the specified amount to your payment method on file. Orders marked as "Pay at Counter" are not charged through the Plaum app — payment is made directly to the restaurant at the time of pickup or dine-in.

Tips are voluntary and optional. Tip amounts entered in the Plaum app are transmitted to the restaurant minus applicable payment processing fees. Plaum does not retain any portion of tips.

3.4 Loyalty Points Program

Participating restaurants may operate their own loyalty points program within Plaum. Loyalty points are earned per dollar spent at a rate configured by each individual restaurant, and may be redeemed for discounts at that restaurant according to that restaurant's program terms.

Plaum provides the technical infrastructure for loyalty programs but does not set, control, or guarantee the redemption value, earning rate, or expiration of loyalty points for any individual restaurant program. Plaum is not responsible for a restaurant's changes to or discontinuation of its loyalty program. Questions about a specific restaurant's loyalty program should be directed to that restaurant.

3.5 Order Reviews and Ratings

After completing a dine-in or pickup order, you may submit a star rating (1–5 stars) and an optional written review. Reviews must be honest, based on your first-hand experience, and written in compliance with our Community Standards. Plaum reserves the right to remove any review that we determine, in our sole discretion, violates these Terms or our Community Standards, without prior notice or compensation to the reviewer.

3.6 Palate Twin Matching

Palate Twin is an AI-powered compatibility matching feature that pairs Plaum users with similar food preferences, palate scores, and dining values. Match scores are computed using our proprietary graph algorithm (powered by Neo4j) based on your onboarding responses, dietary preferences, cuisine preferences, and behavioral signals.

Palate Twin matching is an approximation and is not a guarantee of food taste compatibility or personal compatibility of any kind. Twin status requires mutual acknowledgment — both users must accept the match before a Shared Space is activated. You may unmatch a Palate Twin at any time from within the app, and doing so will permanently delete the Shared Space and all associated content.

3.7 Twin Hunts

Twin Hunts are optional, gamified food missions available to confirmed Palate Twin pairs. Completing a Twin Hunt mission may result in in-app badges, achievements, or loyalty-related rewards. All Twin Hunt rewards have no monetary value and cannot be exchanged for cash, credit, or any form of tangible goods. Plaum reserves the right to modify, pause, or permanently discontinue Twin Hunts and associated rewards at any time without prior notice or compensation.

3.8 Shared Space

The Shared Space is a private 4-tab paired profile accessible only to the two users in a confirmed Palate Twin pairing. Content within a Shared Space — including shared discovery lists, hunt activity, and messages — is visible only to the two matched users and is not publicly accessible. If a Palate Twin pairing is dissolved (by either user unmatching), the Shared Space and all associated content within it are permanently and irrecoverably deleted.

3.9 Plaum AI — Consumer Chatbot

Important Notice About Plaum AI: Plaum AI is an AI-powered assistant. Its responses are generated by a machine learning model and may be inaccurate, outdated, incomplete, or inappropriate. Always use your own judgment and verify information before acting on Plaum AI's suggestions, especially for food orders, dietary needs, and allergen-related decisions.

Plaum AI is an AI-powered food assistant accessible within the Plaum mobile app via text chat or voice input. Plaum AI is powered by AWS Bedrock using Anthropic's Claude model and operates through the Strands-Agents orchestration framework developed by Plaum.

What Plaum AI can do:

  • Provide personalized food and restaurant recommendations based on your location, preferences, and order history
  • Answer questions about restaurants and dishes available on Plaum
  • Navigate within the Plaum app to restaurant profiles, dish detail pages, and other screens
  • Add items to your cart on your behalf when you instruct it to do so
  • Initiate the checkout process on your behalf when you explicitly authorize it

Limitations and your responsibilities:

  • Plaum AI's responses are generated by a large language model and may not always be accurate, current, or complete. Plaum makes no warranty regarding the accuracy of Plaum AI's responses
  • Plaum AI is not a substitute for professional dietary, medical, nutritional, or allergen advice. Do not rely on Plaum AI for decisions affecting your health or the health of others
  • When Plaum AI adds items to your cart or initiates checkout, you are responsible for reviewing your cart and confirming the order before submitting payment. By confirming an order, you authorize the associated charge to your payment method
  • Do not share sensitive personal or financial information with Plaum AI, including credit card numbers, bank account details, passwords, social security numbers, or government-issued identification numbers
  • Do not attempt to misuse, manipulate, or "jailbreak" Plaum AI to generate harmful, illegal, or deceptive content

Plaum is not liable for any decisions you make, actions you take, or consequences you experience as a result of relying on Plaum AI's responses.


4 Social Features and User-Generated Content

4.1 Crumbs

"Crumbs" are food photo and video posts created and shared by Plaum users. Crumbs are public by default and visible to all Plaum users unless you set your profile to followers-only. By posting a Crumb, you represent and warrant that: (a) you own or have the necessary rights to the content you are posting; (b) you have permission to display any identifiable individuals or third-party intellectual property appearing in your Crumb; and (c) the content complies with these Terms and our Community Standards.

4.2 License Grant for User-Generated Content

By submitting any content to Plaum — including Crumbs, comments, reviews, profile photos, Shared Space content, and direct messages — you grant Plaum Inc. a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, display, distribute, adapt, and promote such content for the purposes of operating, improving, and marketing the Plaum platform.

This license is limited to the operation and promotion of Plaum and does not grant Plaum ownership of your content. This license terminates automatically when you delete the specific content or delete your Plaum account, subject to the data retention periods described in our Privacy Policy.

You retain full ownership of all original content you create and post on Plaum.

4.3 Content Restrictions

You agree that you will not post, upload, transmit, or otherwise share on Plaum any content that:

  • Is sexually explicit, obscene, pornographic, or contains nudity in a sexual context
  • Depicts, glorifies, or incites violence, self-harm, or dangerous activities
  • Harasses, bullies, threatens, or intimidates any individual or group
  • Is discriminatory, hateful, or derogatory based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, age, or any other protected characteristic
  • Infringes any third-party intellectual property rights, including copyrights, trademarks, and trade secrets
  • Contains spam, misleading information, fraudulent claims, or coordinated inauthentic behavior (including fake reviews)
  • Promotes or facilitates any illegal activity, including drug sales, gambling, or human trafficking
  • Violates any applicable local, provincial, national, or international law or regulation
  • Contains viruses, malware, or any other malicious code
  • Discloses another person's private information without their consent (doxxing)

4.4 Content Moderation

Plaum takes content moderation seriously. We employ the following mechanisms to enforce our Community Standards:

  • Automated screening: Uploaded photos and videos are automatically scanned by AWS Rekognition upon upload to detect explicit, violent, or otherwise prohibited content
  • User reporting: Any user may report a Crumb, comment, or profile that they believe violates these Terms using the in-app report function
  • Human review: Content flagged by automated systems or user reports is reviewed by Plaum's moderation team

Plaum reserves the right to remove any content that we determine, in our sole discretion, violates these Terms or our Community Standards, without prior notice. Repeated or severe violations may result in account suspension or permanent termination.

4.5 Direct Messages

Direct Messages (DMs) are private communications between individual Plaum users. DMs on Plaum are not end-to-end encrypted. DM content may be accessed by Plaum's authorized personnel in response to valid safety reports, legal requirements, or compliance with court orders. By using Plaum's DM feature, you acknowledge this limitation.

You agree not to use Plaum's DM feature to: harass, threaten, or abuse other users; send unsolicited commercial messages (spam); solicit personal information from other users in a deceptive manner; or share illegal content.

4.6 Intellectual Property

The Plaum name, logo, brand identity, app design, proprietary algorithms (including the Palate Twin matching algorithm and Plaum AI), and all original content created by Plaum are the exclusive intellectual property of Plaum Inc. and are protected by applicable copyright, trademark, trade secret, and other intellectual property laws in Canada and internationally.

Nothing in these Terms grants you a right to use the Plaum name, logo, or any Plaum trademarks or proprietary content without our prior written consent.


5 Restaurant User Terms

5.1 Restaurant Eligibility

To register as a restaurant partner on Plaum, you must operate a lawfully established food service business in your jurisdiction. By registering as a restaurant, you represent and warrant that:

  • Your restaurant is legally authorized to operate and sell food in its jurisdiction
  • You hold all required food safety, business, and operating licenses
  • The business information you provide during onboarding is accurate and complete
  • You have authority to enter into this agreement on behalf of the restaurant entity

Restaurant accounts may not be used for businesses that are not food service establishments without Plaum's prior written consent.

5.2 Stripe Connect and Restaurant Payouts

Restaurant payouts for orders placed through Plaum are processed via Stripe Connect, Stripe Inc.'s platform for marketplace payouts. By completing Stripe Connect onboarding during restaurant registration, you agree to Stripe's Connected Account Agreement, which is incorporated into these Terms by reference for restaurant users.

Plaum deducts applicable service fees and platform commissions from restaurant payouts as specified in your restaurant subscription or onboarding agreement. Plaum is not responsible for delays in payout delivery caused by Stripe's payout schedule, banking processing times, or holds imposed by Stripe due to verification requirements or compliance reviews.

5.3 Subscription and Module-Based Billing

Restaurants may access additional platform features through Plaum's module-based subscription system. Available modules include:

  • Ordering — enables online order acceptance for pickup and dine-in through the Plaum app
  • Kitchen Extension — provides advanced kitchen management features including the Kitchen AI Copilot voice assistant
  • QR Dine-In — enables QR code table ordering for dine-in customers
  • Advanced Analytics — provides detailed reporting, financial summaries, and tax breakdowns
  • Enhanced Profile — enables advanced social and branding features for restaurant pages

Billing terms:

  • Subscriptions are billed in advance on a monthly or annual cycle via Stripe, as selected at the time of subscription
  • Subscriptions auto-renew automatically at the end of each billing cycle unless cancelled before the renewal date
  • Failure to pay subscription fees will result in immediate loss of access to the subscribed module(s)
  • For refund requests related to subscription fees, contact us at admin@plaum.co with the subject line "Subscription Refund Request." Refunds are evaluated on a case-by-case basis.
  • Trial periods, where offered, will be clearly indicated during subscription signup. After the trial period ends, your payment method will be charged the applicable subscription fee unless you cancel before the trial ends.

5.4 Menu and Pricing Accuracy

Restaurants are solely responsible for the accuracy, currency, completeness, and legality of all menu content published on Plaum, including:

  • Dish names, descriptions, and photos
  • Prices and any applicable surcharges
  • Dietary tags (vegan, gluten-free, halal, etc.) and allergen information
  • Ingredient lists
  • Item availability flags
Allergen Information: Plaum does not independently verify allergen or ingredient information submitted by restaurants. Restaurants are solely responsible for ensuring that allergen and ingredient data is accurate and up to date. Plaum is not liable for consumer harm — including allergic reactions or dietary violations — arising from inaccurate or incomplete allergen information published by a restaurant on Plaum.

5.5 Order Fulfillment

By accepting an order through Plaum, the restaurant agrees to fulfill that order in a timely manner and in accordance with the order details, including any special instructions submitted by the customer.

Restaurants may reject incoming orders before acceptance. Once an order has been accepted, the restaurant is bound to fulfill it. If a restaurant must cancel an accepted order, the restaurant is responsible for communicating the cancellation to the customer through the Plaum platform and for cooperating with Plaum to process any applicable customer refund. Repeated order cancellations by a restaurant may affect the restaurant's standing and visibility on the Plaum platform.

5.6 Staff Account Management

Restaurant admins may invite additional staff members (in "staff" or "manager" roles) to access the restaurant's Plaum web dashboard and mobile restaurant interface. The restaurant admin is responsible for:

  • All actions taken by staff members under the restaurant's account
  • Promptly revoking access for staff members who leave the restaurant or whose access should otherwise be terminated
  • Ensuring that all staff members are aware of and comply with these Terms

5.7 Kitchen AI Copilot — Restaurant Voice Assistant

Important Notice About the Kitchen AI Copilot: The Kitchen AI Copilot is an AI assistant and may make errors. Restaurant staff must review and verify all AI-initiated order changes — including status updates, cancellations, and edit proposals — before they are finalized.

The Kitchen AI Copilot is an optional voice-activated AI assistant available on the Plaum restaurant web dashboard. It is activated using the wake word "Plaum". The Copilot is powered by Plaum AI technology and uses the browser's Web Speech API for voice recognition and Inworld AI TTS for spoken responses.

What the Kitchen AI Copilot can do:

  • Claim and release orders in the kitchen queue
  • Update order status (new → in progress → ready → completed)
  • Propose order cancellations with a reason, subject to staff confirmation
  • Propose edits to order items or quantities, subject to customer approval
  • Request additional preparation time for an order
  • Navigate between sections of the restaurant web dashboard
  • Join or leave the real-time lobby queue

Your responsibilities as a restaurant:

  • Restaurant admins are responsible for ensuring that all staff members are trained on the proper use and limitations of the Kitchen AI Copilot
  • Staff members must verify that AI-initiated actions (especially cancellations and order edits) are accurate and intended before confirming them
  • Plaum is not liable for errors made by the Kitchen AI Copilot, including incorrect order status updates or unintended cancellations
  • Voice command transcripts and interaction logs are stored and may be reviewed by Plaum for audit, quality assurance, and compliance purposes, as described in our Privacy Policy (Section 2.5)

5.8 Analytics and Reporting Data

Analytics data provided through the Plaum restaurant dashboard — including revenue figures, order counts, engagement metrics, and financial summaries — are estimates derived from available platform data. This data is provided for informational purposes only. Plaum does not guarantee the accuracy, completeness, or fitness for any particular purpose of analytics data. You should not use Plaum analytics as your sole basis for financial, legal, or tax reporting without independent verification.

5.9 Tables and QR Code Management

Restaurants are responsible for maintaining, updating, and correctly displaying their table QR codes generated through the Plaum platform. QR codes must link only to the Plaum dine-in ordering experience for the table they represent. Misuse of Plaum-generated QR codes — including directing customers to fraudulent, phishing, or non-Plaum pages — is a serious violation of these Terms and may result in immediate account termination and legal action.

5.10 Reservations

The Plaum reservations module allows restaurants to accept and manage table reservations from customers. Restaurants are solely responsible for configuring accurate availability schedules, setting appropriate cancellation window policies, specifying maximum party sizes, and managing blackout dates. Consumer-facing reservation terms — including cancellation policies, security deposit requirements, and party size limits — are determined by the restaurant. Plaum is not a party to the reservation contract between the restaurant and the diner and bears no liability for disputes arising from reservations.


6 Payments, Refunds, and Disputes

6.1 Payment Processing

All consumer payments through the Plaum mobile app and all restaurant payouts are processed by Stripe, Inc., a PCI-DSS Level 1 certified payment processor. By using Plaum's payment features, you agree to Stripe's Consumer Terms of Service and Stripe's Privacy Policy. Plaum does not store, transmit, or process raw credit card or debit card numbers on its own infrastructure.

6.2 Payment Authorization

By placing an order on Plaum with online payment selected, you authorize Plaum (via Stripe) to charge the total amount shown at checkout — including the subtotal, any applicable taxes, and your selected tip amount — to the payment method you have on file. This authorization is given at the time you confirm the order. Pay-at-counter orders are not charged through the Plaum app; payment is made directly to the restaurant.

6.3 Refund Policy

Plaum evaluates refund requests on a case-by-case basis. Common grounds on which Plaum may issue a refund include:

  • An ordered item was not prepared or included in your order
  • You did not receive your order (e.g., the restaurant did not fulfill a confirmed pickup order)
  • Your order contained a significant and verifiable discrepancy from the menu description (e.g., an incorrect item was substituted without consent)

Refunds, when approved, are issued to the original payment method used for the order and may take 5 to 10 business days to appear on your statement, depending on your card issuer. Partial refunds may be issued in cases of partial fulfillment. Plaum reserves the right to deny refund requests that do not meet the above criteria or that appear to involve abuse of the refund system.

To request a refund, contact admin@plaum.co with the subject line "Refund Request — Order #[your order ID]" within 7 days of the relevant order.

6.4 Dispute Resolution for Charges

If you believe a charge to your payment method is incorrect or unauthorized, please contact Plaum at admin@plaum.co within 30 days of the charge date, before initiating a chargeback with your card issuer. In many cases, Plaum can resolve billing disputes faster than the card network chargeback process.

If you initiate a chargeback with your card issuer without first contacting Plaum support, we reserve the right to suspend your Plaum account pending the outcome of the chargeback investigation. Frivolous or abusive chargebacks may result in permanent account termination.

6.5 Tips

Tips entered in the Plaum app are entirely voluntary and optional. The full tip amount you select is transmitted to the restaurant minus applicable payment processing fees charged by Stripe. Plaum does not retain any portion of tips paid through the platform. Tips are non-refundable once an order is confirmed.


7 Prohibited Conduct

In addition to content-specific restrictions in Section 4.3, you agree not to engage in any of the following conduct while using Plaum:

7.1 Platform Abuse

  • Attempting to gain unauthorized access to any Plaum system, server, account, database, or network
  • Using automated scripts, bots, crawlers, scrapers, or other automated means to collect data from Plaum without our express written permission
  • Conducting or facilitating denial-of-service (DoS) or distributed denial-of-service (DDoS) attacks against Plaum or any other service
  • Attempting to reverse engineer, decompile, disassemble, or otherwise extract source code or proprietary algorithms from the Plaum app or platform
  • Exploiting security vulnerabilities in Plaum's systems (responsible disclosure to admin@plaum.co is welcome and encouraged)
  • Circumventing any technical measures Plaum uses to protect its platform, including rate limiting, authentication, or content delivery protections

7.2 Fraud and Platform Manipulation

  • Creating or submitting fake reviews, fake order activity, or fake social engagement (likes, saves, follows) to manipulate restaurant or user rankings
  • Impersonating another Plaum user, restaurant, or any Plaum employee, representative, or affiliate
  • Manipulating loyalty points, Twin Hunt rewards, or Palate Twin match scores through illegitimate means
  • Abusing Plaum's referral programs, promotional codes, or free trial offers in bad faith
  • Submitting false or misleading business information during restaurant onboarding

7.3 Misuse of Plaum AI

  • Attempting to manipulate, bypass, or "jailbreak" Plaum AI to generate outputs that violate these Terms or applicable law
  • Using Plaum AI to generate, distribute, or promote illegal, harmful, defamatory, or deceptive content
  • Submitting prompts to Plaum AI designed to elicit personal information about other users, Plaum employees, or third parties

7.4 Commercial Misuse

  • Using Plaum's consumer platform for unsolicited commercial messaging (spam) to other users, including through the DM feature
  • Reselling or sublicensing access to the Plaum restaurant web dashboard or any Plaum subscription to third parties without our prior written consent
  • Collecting or using Plaum data for competitive intelligence, market research, or any commercial purpose beyond your own use of the platform

8 Intellectual Property

8.1 Plaum's Rights

The following are the exclusive intellectual property of Plaum Inc. and are protected by copyright, trademark, trade secret, and other applicable intellectual property laws in Canada and internationally:

  • The "Plaum" name, logo, and all brand identity elements
  • The Plaum mobile app's interface design, visual design language, and user experience
  • The Plaum restaurant web dashboard's interface and design
  • The Palate Twin matching algorithm and underlying graph model
  • The Plaum AI consumer chatbot system and Kitchen AI Copilot, including their orchestration logic and prompt engineering
  • All original written content, marketing materials, and documentation created by Plaum

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Plaum platform solely for its intended purpose in accordance with these Terms. This license does not grant you any ownership interest in Plaum's intellectual property.

8.2 Your Content

You retain full ownership of all original content you create and post on Plaum, including Crumbs, comments, reviews, and profile content. This ownership is subject to the license grant described in Section 4.2, which allows Plaum to display, distribute, and promote your content within the Plaum platform.

8.3 Feedback and Suggestions

If you submit ideas, suggestions, bug reports, or other feedback about Plaum to us (by email, in-app feedback, social media, or any other channel), you grant Plaum Inc. a perpetual, irrevocable, worldwide, royalty-free, fully paid-up license to use, reproduce, modify, create derivative works from, and implement such feedback in our products without any obligation to compensate you or attribute the feedback to you. We are not obligated to act on any feedback submitted.

8.4 Copyright Complaints (DMCA)

If you believe that content posted on Plaum infringes your copyright or other intellectual property rights, please send a written notice to us at admin@plaum.co with the subject line "Copyright Complaint." Your notice must include:

  • Identification of the copyrighted work claimed to be infringed
  • Identification of the material on Plaum that you claim is infringing, with enough information for us to locate it
  • Your contact information (name, address, telephone number, and email address)
  • A statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner
  • A statement that the information in the notice is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner
  • Your physical or electronic signature

Upon receiving a valid notice, Plaum will promptly investigate and, if appropriate, remove or disable access to the allegedly infringing material.


9 Disclaimers and Limitation of Liability

9.1 Service Disclaimer

THE PLAUM PLATFORM AND ALL RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PLAUM INC. EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; WARRANTIES RELATING TO THE ACCURACY, RELIABILITY, AVAILABILITY, OR COMPLETENESS OF PLAUM'S CONTENT OR SERVICES; AND WARRANTIES THAT THE PLAUM APP WILL BE UNINTERRUPTED, ERROR-FREE, OR VIRUS-FREE.

9.2 Plaum AI Disclaimer

Plaum AI Limitation of Liability: Plaum AI (both the consumer chatbot and the Kitchen AI Copilot) generates responses using machine learning models. AI outputs may be inaccurate, outdated, incomplete, or misleading. Plaum is not liable for any decisions you make in reliance on Plaum AI's responses.

Specifically, Plaum AI responses:

  • Are not professional dietary, medical, nutritional, or allergen advice and should not be used as a substitute for professional consultation
  • May contain factual errors about restaurants, dishes, prices, or availability — always verify directly with the restaurant
  • Are subject to the knowledge and data limitations of the underlying language model (AWS Bedrock / Anthropic Claude)
  • When used to take actions in the app (add to cart, initiate checkout, update order status), require your review and confirmation before those actions become binding

Plaum Inc. is not liable for any loss, harm, injury, or damages — direct or indirect — arising from your use of or reliance on Plaum AI's outputs.

9.3 Restaurant Content Disclaimer

Menu information, pricing, allergen data, operating hours, availability, and other restaurant-specific information displayed on Plaum are provided by our restaurant partners. Plaum does not independently verify this information and is not responsible for its accuracy. Plaum is not liable for any harm — including allergic reactions, food safety incidents, or financial loss — arising from inaccurate restaurant content on the platform.

9.4 Third-Party Services Disclaimer

Plaum integrates with third-party services including Stripe, Google, Apple, AWS, Inworld AI, and others. Plaum is not responsible for the availability, accuracy, reliability, security, or terms of these third-party services. Your use of third-party services integrated with Plaum is governed by those third parties' terms and policies, which Plaum does not control.

9.5 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PLAUM INC.'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLAUM PLATFORM — REGARDLESS OF THE THEORY OF LIABILITY (TORT, CONTRACT, STATUTE, OR OTHERWISE) — SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES AND AMOUNTS YOU PAID TO PLAUM IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) $100 CAD.

IN NO EVENT SHALL PLAUM INC., ITS FOUNDERS, OFFICERS, EMPLOYEES, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY: INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS OR REVENUE; LOSS OF GOODWILL OR REPUTATION; LOSS OF DATA OR CONTENT; BUSINESS INTERRUPTION; OR PERSONAL INJURY OR PROPERTY DAMAGE NOT RESULTING DIRECTLY FROM PLAUM'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT — EVEN IF PLAUM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, Plaum's liability is limited to the greatest extent permitted by applicable law.

9.6 Indemnification

You agree to indemnify, defend, and hold harmless Plaum Inc., its founders (Michael Nwaeze and Alexis Mugisha), officers, employees, contractors, and agents from and against any and all claims, demands, lawsuits, damages, losses, costs, liabilities, and expenses (including reasonable legal fees and costs) arising out of or related to:

  • Your use of the Plaum platform in violation of these Terms
  • Your content posted or submitted on Plaum, including Crumbs, reviews, comments, and DMs
  • Your violation of any applicable law, regulation, or third-party right (including intellectual property rights)
  • Any order placed through your account, including disputes related to special instructions, allergen claims, or payment
  • Your operation of a restaurant account, including any consumer claims arising from your menu content, order fulfillment, or restaurant service

10 Privacy

Your use of Plaum is also governed by our Privacy Policy, which is incorporated into these Terms of Service by this reference. By accepting these Terms, you also acknowledge that you have read, understood, and agree to the Privacy Policy.

The Privacy Policy describes in detail: what personal information Plaum collects from you; how Plaum uses, shares, and retains that information; your privacy rights under GDPR, CCPA, and PIPEDA; and how to exercise those rights. Please read the Privacy Policy carefully as it contains important information about your data.


11 Governing Law and Dispute Resolution

11.1 Governing Law

These Terms of Service and any dispute arising out of or in connection with them or Plaum's services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles that would require the application of the laws of any other jurisdiction.

11.2 Informal Dispute Resolution

Before initiating any formal legal proceedings, both you and Plaum agree to attempt in good faith to resolve any dispute, claim, or controversy informally. To initiate informal resolution, contact us at admin@plaum.co with the subject line "Legal Dispute — [Brief Description]". We will endeavour to respond within 15 business days. Both parties agree to devote at least 30 days to good-faith informal negotiation before escalating a dispute to formal proceedings.

11.3 Binding Arbitration

If a dispute cannot be resolved through the informal process described in Section 11.2, the dispute shall be finally resolved by binding arbitration administered in accordance with the applicable arbitration rules in the Province of Ontario, Canada. The arbitration shall be conducted on an individual basis; class action arbitrations and class-wide claims are expressly waived. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Nothing in this section prevents either party from seeking interim or urgent relief from a court of competent jurisdiction where necessary to prevent irreparable harm pending the resolution of arbitration.

11.4 Exception — Injunctive Relief

Notwithstanding the arbitration provision above, either party may seek injunctive or other equitable relief from a court of competent jurisdiction in Ontario, Canada, for matters relating to: actual or threatened infringement of intellectual property rights; unauthorized access to or use of Plaum's systems or data; or breach of confidentiality obligations. Seeking such relief does not constitute a waiver of the right to arbitrate other claims.


12 Termination

12.1 Termination by You

You may terminate your Plaum account at any time by navigating to Settings > Account > Delete Account within the Plaum mobile app. Account deletion is permanent and cannot be undone. Upon deletion, your access to the Plaum platform ceases immediately and your data is handled in accordance with our Privacy Policy (Section 5).

If you are a restaurant user, deleting your account does not automatically cancel any active Stripe Connect connections or module subscriptions. You are responsible for managing subscription cancellations through your account settings before or after account deletion.

12.2 Termination by Plaum

Plaum may, at its sole discretion, suspend, restrict, or permanently terminate your account at any time if we determine that you have violated these Terms, engaged in fraud or deceptive behavior, posed a threat to the safety or integrity of the Plaum platform or its users, or for any other reason we deem appropriate and consistent with applicable law.

We will provide advance notice of termination where practicable and not prohibited by law or urgency. In cases of severe violations — including fraud, illegal activity, or serious harm to users — immediate termination without prior notice may occur.

12.3 Effect of Termination

Upon termination of your account (whether by you or by Plaum):

  • Your right to access and use the Plaum platform ceases immediately
  • The license granted to you to use Plaum is immediately revoked
  • Your personal data will be handled in accordance with our Privacy Policy (Section 5 — Data Retention)
  • Any outstanding payment obligations, pending order transactions, or financial claims against you by Plaum survive termination
  • Provisions of these Terms that by their nature should survive termination shall continue to apply, including but not limited to Sections 4.2 (License Grant), 8 (Intellectual Property), 9 (Disclaimers and Liability), 9.6 (Indemnification), and 11 (Governing Law and Dispute Resolution)

13 Miscellaneous

13.1 Entire Agreement

These Terms of Service, together with Plaum's Privacy Policy and any restaurant-specific subscription or onboarding agreements you have entered into with Plaum, constitute the entire agreement between you and Plaum Inc. with respect to the Plaum platform. They supersede all prior or contemporaneous understandings, communications, and agreements between you and Plaum relating to the same subject matter.

13.2 Severability

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions of these Terms shall continue in full force and effect.

13.3 No Waiver

Plaum's failure or delay in exercising or enforcing any right or provision of these Terms does not constitute a waiver of that right or provision. A waiver of any provision of these Terms by Plaum must be in writing and signed by an authorized representative of Plaum Inc. to be effective.

13.4 Assignment

You may not assign, transfer, or sublicense your rights or obligations under these Terms to any third party without Plaum's prior written consent. Plaum may assign or transfer these Terms — in whole or in part — in connection with a merger, acquisition, reorganization, corporate restructuring, or sale of all or substantially all of Plaum's assets, without your consent. Any purported assignment by you in violation of this section is void.

13.5 Force Majeure

Plaum will not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by events beyond Plaum's reasonable control, including but not limited to: natural disasters, acts of war or terrorism, public health emergencies, government regulations or restrictions, widespread internet or telecommunications infrastructure failures, or failures of third-party service providers (including AWS, Stripe, or Supabase).

13.6 Language

These Terms of Service are written in English. To the extent any translated version of these Terms conflicts with the English version, the English version shall prevail.
